1. Nature of the Platform
AmidiEat is an online marketplace platform that facilitates the listing, marketing, and sale of food, restaurant products, and related services by independent vendors to end customers. AmidiEat acts solely as a technology intermediary and does not operate as a restaurant, food provider, delivery company, or employer.
2. Independent Contractor Relationship
The relationship between AmidiEat and the Vendor is that of independent contractors. Nothing in this Agreement shall be deemed to create an employment relationship, a partnership, a joint venture, an agency, or a franchise relationship. The Vendor has no authority to bind or represent AmidiEat in any manner.
3. Scope of Services Provided by AmidiEat
AmidiEat agrees to provide access to the Platform and its technical infrastructure, display the Vendor’s products and offerings, receive and transmit customer orders, process customer payments on behalf of the Vendor, remit Vendor earnings after applicable deductions, perform ongoing platform maintenance, and conduct general platform-wide marketing efforts (without guaranteeing minimum order volume).
4. Vendor Obligations
The Vendor agrees to provide accurate and up-to-date product descriptions, pricing, and images; prepare all orders in a timely and professional manner; comply with all applicable Canadian food safety, health, and sanitation laws; fulfill accepted orders and avoid excessive cancellations; and maintain sole responsibility for product quality and customer satisfaction.
5. Commission Structure
The Vendor agrees to the commission rates and fees as configured in their specific Vendor Dashboard on the Platform, or as explicitly agreed upon in the official Vendor Acceptance Letter. AmidiEat reserves the right to modify these rates with prior written notice.
6. Payment Processing Fees (Stripe)
All payments are processed through Stripe. Stripe fees are 2.9% + CAD $0.30 per transaction. Stripe fees are deducted directly from each order. AmidiEat is not responsible for future changes to Stripe’s pricing.
7. Taxes
The Vendor is solely responsible for GST, PST, HST (if applicable) and any federal, provincial, or local taxes. AmidiEat does not provide tax advice and is not responsible for the Vendor’s tax filings or remittances.
8. Subscription Fee and Tablet Device
AmidiEat will provide the Vendor with a tablet device for order management. The tablet remains the exclusive property of AmidiEat. Subscription fee: CAD $200. The subscription fee will be deducted from the Vendor’s first 10 customer orders. Upon termination of this Agreement, the tablet must be returned in good condition, or the Vendor shall be responsible for its replacement value.
9. Delivery
Delivery services, if applicable, are arranged through the customer’s account, or via third-party delivery providers. AmidiEat is not responsible for delivery delays, accidents or damages, or conduct of delivery drivers.
10. Paid Advertising
The Vendor may purchase paid advertising services within the Platform. Advertising eligibility begins after the third month of this Agreement. Advertising services are optional. Results are not guaranteed. Advertising terms may be governed by separate agreements.
11. Cancellations and Refunds
AmidiEat reserves the right to investigate customer complaints and issue refunds when necessary. If a refund results from the Vendor’s error, the refunded amount will be deducted from the Vendor’s balance.
12. Complaints and Account Actions
AmidiEat reserves the right to temporarily suspend Vendor accounts, withhold payouts during investigations, and terminate this Agreement in cases of repeated complaints or policy violations.
13. Intellectual Property
All intellectual property related to the AmidiEat name, trademarks, logos, software, and platform content are the exclusive property of Amidify Solutions INC.
14. Confidentiality and Data Protection
The Vendor agrees to protect customer and platform data, not disclose confidential information, and comply with Canadian privacy laws, including PIPEDA.
15. Indemnification
The Vendor agrees to indemnify and hold harmless AmidiEat from any claims, damages, losses, liabilities, or expenses arising from the Vendor’s products or services, violations of law, customer complaints, or breach of this Agreement.
16. Termination
Either party may terminate this Agreement with written notice. AmidiEat may terminate this Agreement immediately in cases of fraud, legal violations, repeated customer complaints, or harm to the Platform’s reputation.
17. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Canada, Province of British Columbia, with venue in Vancouver, British Columbia.
18. Amendments
AmidiEat may update or amend this Agreement from time to time. Continued use of the Platform constitutes acceptance of such amendments.
